18 19 20 21 22 23 24 25 26 27 1 This Stipulated Protective Order is entered into by and between Plaintiff DAMION 2 SKELTON (“Plaintiff”) and Defendant IDEXX DISTRIBUTION, INC. (“Defendant”) 3 (collectively, “the Parties”) as follows: 4 1. Purposes and Limitations. Disclosure and discovery activity in this Action are 5 likely to involve the production of confidential, proprietary, or private information, including, but 6 not limited to, confidential business or sensitive personal information that could cause harm if 7 publicly disclosed, attorney-client privileged communications/investigations and work product, third 8 party employee personnel records, information otherwise generally unavailable to the public, or 9 which may be privileged or otherwise protected from disclosure under state or federal statutes, court 10 rules, case decisions, or common law, for which special protection from public disclosure and from 11 use for any purpose other than prosecuting this litigation may be warranted. Accordingly, the Parties 12 hereby stipulate to and petition the Court to enter the following Stipulated Protective Order. The 13 Parties acknowledge that this Stipulated Protective Order does not confer blanket protections on all 14 disclosures or responses to discovery and that the protection it affords from public disclosure and 15 use extends only to the limited information or items that are entitled to confidential treatment under 16 the applicable legal principles. The parties further acknowledge, as set forth in Section 12.3, below, 17 that this Stipulated Protective Order does not entitle them to file confidential information under seal. 18 Confidential information may only be filed under seal pursuant to a court order authorizing the 19 sealing of the specific confidential information at issue. Civil Local Rule 141 sets forth the 20 procedures that must be followed and the standards that will be applied when a party seeks 21 permission from the court to file material under seal. 22 2. Definitions. 23 a. Action: the instant Action: DAMION SKELTON, an individual, Plaintiff, vs. IDEXX 24 DISTRIBUTION, INC., a Massachusetts corporation; DOE EMPLOYEE, an individual; and DOES 25 1-50, inclusive. 26 b. Challenging Party: a Party or Non-Party that challenges the designation of 27 information or items under this Stipulated Protective Order. 1 c. "CONFIDENTIAL" Discovery Material or Items: information (regardless of 2 how it is generated, stored or maintained) or tangible things that qualify for protection under 3 Federal Rule of Civil Procedure 26(c). 4 d. "HIGHLY CONFIDENTIAL – ATTORNEYS' EYES ONLY" Discovery 5 Material or Items: extremely sensitive "CONFIDENTIAL" information or tangible things, the 6 disclosure of which to another Party or Non-Party would create a substantial risk of serious harm 7 that could not be avoided by less restrictive means. 8 e. Counsel (without qualifier): Outside Counsel of Record and House Counsel (as 9 well as their support staff). 10 f. Designating Party: a Party or Non-Party who designates information or items that 11 it produces in disclosures or in responses to discovery as "HIGHLY CONFIDENTIAL – 12 ATTORNEYS' EYES ONLY". 13 g. Disclosure or Discovery Material: all items or information, regardless of the 14 medium or manner in which it is generated, stored, or maintained (including, among other things, 15 testimony, transcripts, and tangible things), that are produced or generated in disclosures or 16 responses to discovery in this Action. 17 h. Expert: a person with specialized knowledge or experience in a matter pertinent to 18 the litigation who has been retained by a Party or its counsel to serve as an expert witness or as a 19 Consultant in this Action. 20 i. House Counsel: attorneys who are employees of a party to this Action. House 21 Counsel does not include Outside Counsel of Record or any other outside counsel. 22 j. Non-Party: any natural person, partnership, corporation, association, or other legal 23 entity not named as a Party to this Action. 24 k. Outside Counsel of Record: attorneys who are not employees of a party to this 25 Action, but are retained to represent or advise a party to this Action and have appeared in this 26 Action on behalf of that party or are affiliated with a law firm that has appeared on behalf of that 27 party, and includes support staff. 1 l. Party: any party to this Action, including all of its officers, directors, employees, 2 consultants, retained experts, and Outside Counsel of Record (and their support staffs). 3 m. Producing Party: a Party or Non-Party who produces Disclosure or Discovery 4 Material in this Action. 5 n. Professional Vendors: persons or entities that provide litigation support services 6 (e.g., photocopying, videotaping, translating, preparing exhibits or demonstrations, and organizing, 7 storing, or retrieving data in any form or medium) and their employees and subcontractors. 8 o. Protected Material: any Disclosure or Discovery Material that is designated as 9 "HIGHLY CONFIDENTIAL – ATTORNEYS' EYES ONLY". 10 p. Receiving Party: a Party who receives Disclosure or Discovery Material from a 11 Producing Party. 12 3. Scope. The protections conferred by this Stipulated Protective Order cover not only 13 Protected Material (as defined above), but also (1) any information copied or extracted from 14 Protected Material; (2) all copies, excerpts, summaries, or compilations of Protected Material; and 15 (3) any testimony, conversations, or presentations by Parties or their Counsel that might reveal 16 Protected Material. However, the protections conferred by this Stipulated Protective Order do not 17 cover the following information: (a) any information that is in the public domain at the time of 18 disclosure to a Receiving Party or becomes part of the public domain after its disclosure to a 19 Receiving Party as a result of publication not involving a violation of this Stipulated Protective 20 Order, including becoming part of the public record through trial or otherwise; and (b) any 21 information known to the Receiving Party prior to the disclosure or obtained by the Receiving 22 Party after the disclosure from a source who obtained the information lawfully and under no 23 obligation of confidentiality to the Designating Party. Any use of Protected Material at trial shall be 24 governed by a separate agreement or order. 25 4. Duration. Even after final disposition of this Action, the confidentiality obligations 26 imposed by this Stipulated Protective Order shall remain in effect until a Designating Party agrees 27 otherwise in writing or a court order otherwise directs. Final disposition shall be deemed to be the 1 (2) final judgment herein after the completion and exhaustion of all appeals, rehearings, remands, 2 trials, or reviews of this Action, including the time limits for filing any motions or applications for 3 extension of time pursuant to applicable law. 4 5. Designating Protected Material. 5 a. Exercise of Restraint and Care in Designating Material for Protection. Each 6 Party or Non-Party who designates information or items for protection under this Stipulated 7 Protective Order must take care to limit any such designation to specific material that qualifies 8 under the appropriate standards. The Designating Party must designate for protection only those 9 parts of material, documents, items, or oral or written communications that qualify so that other 10 portions of the material, documents, items, or communications for which protection is not 11 warranted are not swept unjustifiably within the ambit of this Stipulated Protective Order. Mass, 12 indiscriminate, or routinized designations are prohibited. Designations that are shown to be clearly 13 unjustified or that have been made for an improper purpose (e.g., to unnecessarily encumber or 14 retard the case development process or to impose unnecessary expenses and burdens on other 15 parties) expose the Designating Party to sanctions. If it comes to a Designating Party's attention 16 that information or items that it designated for protection do not qualify for protection, that 17 Designating Party must promptly notify all other Parties that it is withdrawing the mistaken 18 designation. 19 b. Manner and Timing of Designations. Except as otherwise provided in this 20 Stipulated Protective Order (see, e.g., second paragraph of Section (a) below), or as otherwise 21 stipulated or ordered, Disclosure or Discovery Material that qualifies for protection under this 22 Stipulated Protective Order must be clearly so designated before the material is disclosed or 23 produced. Designation in conformity with this Stipulated Protective Order requires: 24 i. for information in documentary form (e.g., paper or electronic documents, 25 but excluding transcripts of depositions or other pretrial or trial proceedings), that the Producing 26 Party affix the legend "HIGHLY CONFIDENTIAL – ATTORNEYS' EYES ONLY" to each page 27 that contains Protected Material. If only a portion or portions of the material on a page qualifies for 1 appropriate markings in the margins). A Party or Non-Party that makes original documents or 2 materials available for inspection need not designate them for protection until after the inspecting 3 Party has indicated which material it would like copied and produced. During the inspection and 4 before the designation, all of the material made available for inspection shall be deemed 5 "CONFIDENTIAL" or "CONFIDENTIAL—ATTORNEYS' EYES ONLY," at the option of the 6 Producing Party. After the inspecting Party has identified the documents it wants copied and 7 produced, the Producing Party must determine which documents, or portions thereof, qualify for 8 protection under this Stipulated Protective Order. Then, before producing the specified documents, 9 the Producing Party must affix the "HIGHLY CONFIDENTIAL – ATTORNEYS' EYES ONLY" 10 legend to each page that contains Protected Material. If only a portion or portions of the material on 11 a page qualifies for protection, the Producing Party also must clearly identify the protected 12 portion(s) (e.g., by making appropriate markings in the margins). 13 ii. for testimony given in depositions or in other pretrial or trial proceedings, 14 that the Designating Party identify on the record, before the close of the deposition, hearing, or 15 other proceeding, all protected testimony. 16 iii. for information produced in some form other than documentary and for any 17 other tangible items, that the Producing Party affix in a prominent place on the exterior of the 18 container or containers in which the information or item is stored the legend "HIGHLY 19 CONFIDENTIAL – ATTORNEYS' EYES ONLY". If only a portion or portions of the information 20 or item warrant protection, the Producing Party, to the extent practicable, shall identify the 21 protected portion(s). 22 c. Inadvertent Failures to Designate. If timely corrected, an inadvertent failure to 23 designate qualified information or items does not, standing alone, waive the Designating Party's 24 right to secure protection under this Stipulated Protective Order for such material. Upon timely 25 correction of a designation, the Receiving Party must make reasonable efforts to assure that the 26 material is treated in accordance with the provisions of this Stipulated Protective Order. 27 6. Challenging Confidentiality Designations. 1 confidentiality at any time. Unless a prompt challenge to a Designating Party's confidentiality 2 designation is necessary to avoid foreseeable, substantial unfairness, unnecessary economic 3 burdens, or a significant disruption or delay of the litigation, a Party or Non-Party does not waive 4 its right to challenge a confidentiality designation by electing not to mount a challenge promptly 5 after the original designation is disclosed. 6 b. Meet and Confer. The Challenging Party shall initiate the dispute resolution 7 process by providing written notice of each designation it is challenging and describing the basis 8 for each challenge. To avoid ambiguity as to whether a challenge has been made, the written notice 9 must recite that the challenge to confidentiality is being made in accordance with this specific 10 paragraph of the Stipulated Protective Order. The Parties shall attempt to resolve each challenge in 11 good faith and must begin the process by conferring directly (in voice to voice dialogue; other 12 forms of communication are not sufficient) within 14 days of the date of service of the notice. In 13 conferring, the Challenging Party must explain the basis for its belief that the confidentiality 14 designation was not proper and must give the Designating Party an opportunity to review the 15 designated material, to reconsider the circumstances, and, if no change in designation is offered, to 16 explain the basis for the chosen designation. A Challenging Party may proceed to the next stage of 17 the challenge process only if it has engaged in this meet and confer process first or establishes that 18 the Designating Party is unwilling to participate in the meet and confer process in a timely manner. 19 c. Judicial Intervention. If the Parties cannot resolve a challenge without court 20 intervention, the Designating Party shall file and serve a motion to retain confidentiality under U.S. 21 Dist. Ct., Local Rules, Eastern Dist. Cal., Rules 141 and 230, and within twenty-one days of the 22 initial notice of challenge or within fourteen days of the Parties agreeing that the meet and confer 23 process will not resolve their dispute, whichever is earlier. Each such motion must be accompanied 24 by a competent declaration affirming that the movant has complied with the meet and confer 25 requirements imposed in the preceding paragraph. Failure by the Designating Party to make such a 26 motion, including the required declaration, within required time shall automatically waive the 27 confidentiality designation for each challenged designation. In addition, the Challenging Party may 1 so, including a challenge to the designation of a deposition transcript or any portions thereof. Any 2 motion brought pursuant to this provision must be accompanied by a competent declaration 3 affirming that the movant has complied with the meet and confer requirements imposed by the 4 preceding paragraph. The burden of persuasion in any such challenge proceeding shall be on the 5 Designating Party. Frivolous challenges, and those made for an improper purpose (e.g., to harass or 6 impose unnecessary expenses and burdens on other parties) may expose the Challenging Party to 7 sanctions. Unless the Designating Party has waived the confidentiality designation by failing to file 8 a motion to retain confidentiality as described above, all Parties shall continue to afford the 9 material in question the level of protection to which it is entitled under the Producing Party's 10 designation until the Court rules on the challenge. 11 7. Access to and Use of Protected Material. 12 a. Basic Principles. A Receiving Party may use Protected Material that is disclosed or 13 produced by another Party or by a Non-Party in connection with this case only for prosecuting, 14 defending, or attempting to settle this litigation. Such Protected Material may be disclosed only to 15 the categories of persons and under the conditions described in this Stipulated Protective Order. 16 When the litigation has been terminated, a Receiving Party must comply with the provisions of 17 Section XIII below (FINAL DISPOSITION). Protected Material must be stored and maintained by 18 a Receiving Party at a location and in a secure manner that ensures that access is limited to the 19 persons authorized under this Stipulated Protective Order. 20 b. Disclosure of "CONFIDENTIAL" Discovery Material or Items. Unless 21 otherwise ordered by the Court or permitted in writing by the Designating Party, a Receiving Party 22 may disclose any information or item designated "CONFIDENTIAL" only to: 23 i. the Receiving Party's Outside Counsel of Record in this Action, as well as 24 employees of said Outside Counsel of Record to whom it is reasonably necessary to disclose the 25 information for this Action and who have signed the "Acknowledgment and Agreement to Be 26 Bound" that is attached hereto as Exhibit A; 27 /// 1 ii. the officers, directors, and employees (including House Counsel) of the 2 Receiving Party to whom disclosure is reasonably necessary for this Action and who have signed 3 the "Acknowledgment and Agreement to Be Bound" (Exhibit A); 4 iii. Experts (as defined in this Stipulated Protective Order) of the Receiving 5 Party to whom disclosure is reasonably necessary for this Action and who have signed the 6 "Acknowledgment and Agreement to Be Bound" (Exhibit A); 7 iv. the Court and its personnel; 8 v. private court reporters and their staff, professional jury or trial consultants, 9 mock jurors, and Professional Vendors to whom disclosure is reasonably necessary for this Action 10 and who have signed the "Acknowledgment and Agreement to Be Bound" (Exhibit A); 11 vi. during their depositions, witnesses and attorneys for witnesses, in the Action 12 to whom disclosure is reasonably necessary and who have signed the "Acknowledgment and 13 Agreement to Be Bound" (Exhibit A), unless otherwise agreed by the Designating Party or ordered 14 by the Court. Pages of transcribed deposition testimony or exhibits to depositions that reveal 15 Protected Material must be separately bound by the court reporter and may not be disclosed to 16 anyone except as permitted under this Stipulated Protective Order; 17 vii. the author or recipient of a document containing the information or a 18 custodian or other person who otherwise possessed or knew the information; 19 viii. any mediator or settlement officer, and their supporting personnel, mutually 20 agreed upon by any the Parties engaged in settlement discussion. 21 8. Disclosure of "HIGHLY CONFIDENTIAL -- ATTORNEYS' EYES ONLY" 22 Discovery Material or Items. Unless otherwise ordered by the Court or permitted in writing by 23 the Designating Party, a Receiving Party may disclose any information or item designated 24 "HIGHLY CONFIDENTIAL—ATTORNEYS' EYES ONLY" only to: 25 a. the Receiving Party's Outside Counsel of Record in this Action, as well as 26 employees of said Outside Counsel of Record to whom it is reasonably necessary to disclose the 27 information for this Action and who have signed the "Acknowledgment and Agreement to Be 1 b. Experts (as defined in this Stipulated Protective Order) of the Receiving Party to 2 whom disclosure is reasonably necessary for this Action and who have signed the 3 "Acknowledgment and Agreement to Be Bound" (Exhibit A); 4 c. the Court and its personnel; 5 d. private court reporters and their staff to whom disclosure is reasonably necessary for 6 this Action and who have signed the "Acknowledgment and Agreement to Be Bound" (Exhibit A); 7 e. professional jury or trial consultants, mock jurors, and Professional Vendors to 8 whom disclosure is reasonably necessary for this Action and who have signed the 9 "Acknowledgment and Agreement to Be Bound" (Exhibit A); 10 f. the author or recipient of a document containing the information or a custodian or 11 other person who otherwise possessed or knew the information; and 12 g. any mediator or settlement officer, and their supporting personnel, mutually agreed 13 upon by any of the Parties engaged in settlement discussions. 14 9. Protected Material Subpoenaed or Ordered Produced in Other Litigation. If a 15 Party is served with a subpoena or a court order issued in other litigation that compels disclosure of 16 any information or items designated in this Action as "HIGHLY CONFIDENTIAL – 17 ATTORNEYS' EYES ONLY", that Party must: 18 a. promptly notify in writing the Designating Party. Such notification shall include a 19 copy of the subpoena or court order; 20 b. promptly notify in writing the party who caused the subpoena or order to issue in 21 the other litigation that some or all of the material covered by the subpoena or order is subject to 22 this Stipulated Protective Order. Such notification shall include a copy of this Stipulated Protective 23 Order; and 24 c. cooperate with respect to all reasonable procedures sought to be pursued by the 25 Designating Party whose Protected Material may be affected. If the Designating Party timely seeks 26 a protective order, the Party served with the subpoena or court order shall not produce any 27 information designated in this Action as "HIGHLY CONFIDENTIAL – ATTORNEYS' EYES 1 Party has obtained the Designating Party's permission. The Designating Party shall bear the burden 2 and expense of seeking protection in that Court of its confidential material – and nothing in these 3 provisions should be construed as authorizing or encouraging a Receiving Party in this Action to 4 disobey a lawful directive from another Court. 5 10. A Non-Party's Protected Material Sought to be Produced in This Litigation. 6 a. The terms of this Stipulated Protective Order are applicable to information produced 7 by a Non-Party in this Action and designated as "HIGHLY CONFIDENTIAL – ATTORNEYS' 8 EYES ONLY." Such information produced by Non-Parties in connection with this Action is 9 protected by the remedies and relief provided by this Stipulated Protective Order. Nothing in these 10 provisions should be construed as prohibiting a Non-Party from seeking additional protections. 11 b. In the event that a Party is required, by a valid discovery request, to produce a Non- 12 Party's confidential information in its possession, and the Party is subject to an agreement with the 13 Non-Party not to produce the Non-Party's confidential information, then the Party shall: 14 i. promptly notify in writing the Requesting Party and the Non-Party that some 15 or all of the information requested is subject to a confidentiality agreement with a Non-Party; 16 ii. promptly provide the Non-Party with a copy of the Stipulated Protective 17 Order in this litigation, the relevant discovery request(s), and a reasonably specific description of 18 the information requested; and 19 iii. make the information requested available for inspection by the Non-Party. 20 c. If the Non-Party fails to object or seek a protective order from this Court within 14 21 days of receiving the notice and accompanying information, the Receiving Party may produce the 22 Non-Party's confidential information responsive to the discovery request. If the Non-Party timely 23 seeks a protective order, the Receiving Party shall not produce any information in its possession or 24 control that is subject to the confidentiality agreement with the Non-Party before a determination 25 by the Court. Absent a court order to the contrary, the Non-Party shall bear the burden and expense 26 of seeking protection in this Court of its Protected Material. 27 11. Unauthorized Disclosure of Protected Material. If a Receiving Party learns that, 1 circumstance not authorized under this Stipulated Protective Order, the Receiving Party must 2 immediately: 3 a. notify in writing the Designating Party of the unauthorized disclosures; 4 b. use its best efforts to retrieve all unauthorized copies of the Protected Material; 5 c. inform the person or persons to whom unauthorized disclosures were made of all the 6 terms of this Stipulated Protective Order; and 7 d. request such person or persons to execute the "Acknowledgment and Agreement to 8 Be Bound" that is attached hereto as Exhibit A. 9 12. No Waiver by Disclosure of Discovery Material. If a Producing Party discloses 10 Discovery Material in this action, the disclosure, whether inadvertent or otherwise, will not 11 constitute or be deemed a waiver—in this action or in any other state or federal action or 12 proceeding—of any claim of the attorney-client privilege and/or work product doctrine that the 13 Producing Party would otherwise be entitled to assert with respect to the Discovery Material or its 14 subject matter. This Order shall be interpreted to provide the maximum protection allowed by 15 Federal Rule of Evidence 502(d). 16 a. Notification. The Producing Party must notify the party receiving the Information 17 ("Receiving Party"), in writing, that privileged and/or work product Information has been produced 18 or otherwise disclosed. The Disclosing Party must provide this written notice promptly following 19 its discovery of the production or disclosure. The Disclosing Party shall not be deemed to have 20 waived any rights by such disclosure, or by its failure to object to the use of the Discovery 21 Materials by the Receiving Party after its disclosure, so long as the Disclosing Party provides 22 prompt written notice to the Receiving Party. Upon its receipt of this written notice, the Receiving 23 Party must immediately cease reviewing and circulating such Discovery Material or using it for 24 any purpose, except as provided in section 4. below, until further order of the Court. Within ten 25 (10) business days of receiving this written notice, except as provided in section 4. below, the 26 Receiving Party must return to the Disclosing Party or destroy (delete, in the case of electronically 27 stored Discovery Material), at the Disclosing Party's option, such Discovery Material and all 1 Disclosing Party that it has returned or destroyed the Discovery Material and has made reasonably 2 diligent efforts to identify and destroy all copies of it. If such Discovery Material is in electronic 3 format and has been stored on a source of electronically stored Discovery Material that is not 4 reasonably accessible, such as disaster backup recovery media, the Receiving Party shall sequester 5 the Discovery Material and if the Discovery Material is retrieved, the Receiving Party must 6 promptly delete it. 7 b. Challenging Claim of Privilege or Work Product Protection. The Receiving 8 Party may challenge the Producing Party's claim of attorney-client privilege or work-product 9 protection with respect to any of the disclosed Discovery Material. The Receiving Party, however, 10 cannot argue that the disclosure itself of the Discovery Material waived or forfeited the privilege or 11 work-product protection. In the event the Receiving Party disputes the claim of privilege or work- 12 product protection, the Receiving Party must, within fifteen (15) business days after it receives the 13 Producing Party's initial written notice, move the Court for an order compelling the production of 14 the disputed Information. Prior to filing and serving its motion, the Receiving Party shall give the 15 Producing Party written notice of the basis of its challenge and shall be entitled to retain one copy 16 of the disputed document or Discovery Material to use in bringing its motion to compel. If the 17 Receiving Party fails to seek a court order, it shall return or destroy, at the Producing Party's 18 option, all copies of the disputed document or Information upon the expiration of the 15-day 19 period. 20 c. Stipulated Time Periods. The parties may stipulate to extend the time periods 21 established in sections 3. and 4. above. 22 d. Destruction of Derivative Material. In the event the Receiving Party or any of its 23 experts or agents prepared any analyses, memoranda, notes or other material based on or derived 24 from disclosed Discovery Material, the Receiving Party shall immediately retrieve such material 25 and place it in sealed envelopes. Thereafter, the Receiving Party shall destroy the material if either: 26 the Receiving Party does not dispute that the disclosed Discovery Material is privileged or 27 protected work-product in accordance with the procedures specified in section 4. above; or the 1 that the Discovery Material is privileged or protected work product. The analyses, memoranda, 2 notes or other material may be removed from their sealed envelopes and used for their intended 3 purpose only if either: the Disclosing Party agrees in writing that the disclosed Discovery Material 4 is not privileged or work product protected; or the Court rules that the Discovery Material is not 5 privileged or work product protected. 6 e. Burden of Proving Privilege or Work Product Protection. If the Receiving Party 7 challenges the claim of attorney-client privilege and/or work-product protection, as provided for in 8 section 4. above, the Producing Party bears the burden of establishing that the disclosed Discovery 9 Material is privileged and/or work product protected. 10 f. No Limitation on Party's Right to Review. Nothing contained herein is intended 11 to or shall serve to limit a party's right to conduct a review of documents or Discovery Material 12 (including metadata) for relevance, responsiveness, and/or segregation of privileged and/or work 13 product protected Discovery Material before production. 14 13. Miscellaneous. 15 a. Right to Further Relief. Nothing in this Stipulated Protective Order abridges the 16 right of any person to seek its modification by the Court in the future. 17 b. Right to Assert Other Objections. By stipulating to the entry of this Stipulated 18 Protective Order no Party waives any right it otherwise would have to object to disclosing or 19 producing any information or item on any ground not addressed in this Stipulated Protective Order. 20 Similarly, no Party waives any right to object on any ground to use in evidence of any of the 21 material covered by this Stipulated Protective Order. 22 c. Filing Protected Material. Without written permission from the Designating Party 23 or a court order secured after appropriate notice to all interested persons, a Party may not file in the 24 public record in this Action any Protected Material. A Party that seeks to file under seal any 25 Protected Material must comply with 141 and with any pertinent orders of the assigned District 26 Judge and Magistrate Judge. Protected Material may only be filed under seal pursuant to a court 27 order authorizing the sealing of the specific Protected Material at issue. If a Receiving Party's 1 || request to file Protected Material under seal is denied by the Court, then the Receiving Party may 2 || file the information in the public record unless otherwise instructed by the Court. 3 14. _ Final Disposition. Within 60 days after the final disposition of this Action, as 4 || defined in Section 4, each Receiving Party must return all Protected Material to the Producing 5 || Party or destroy such material. As used in this subdivision, "all Protected Material" includes all 6 || copies, abstracts, compilations, summaries, and any other format reproducing or capturing any of 7 || the Protected Material. Whether the Protected Material is returned or destroyed, the Receiving 8 || Party must submit a written certification to the Producing Party (and, if not the same person or 9 || entity, to the Designating Party) by the 60-day deadline that: 10 a. identifies (by category, where appropriate) all the Protected Material that was 11 || returned or destroyed; and 12 b. affirms that the Receiving Party has not retained any copies, abstracts, compilations, 13 || summaries or any other format reproducing or capturing any of the Protected Material. 14 || Notwithstanding this provision, Counsel are entitled to retain an archival copy of all pleadings, 15 || motion papers, trial, deposition, and hearing transcripts, legal memoranda, correspondence, 16 || deposition and trial exhibits, expert reports, attorney work product, and consultant and expert work 17 || product, even if such materials contain Protected Material.
