Opinion

IN THE SUPREME COURT OF THE STATE OF DELAWARE FON HOLDINGS, LLC, § § Defendant Below, § No. 492, 2025 Appellant, § § Court Below: Court of v. § Chancery of the State of § Delaware BRIAN JONES, § § C.A. No. 2023-0968 Plaintiff Below, § Appellee. § § §

Submitted: August 12, 2026 Decided: August 24, 2026 Before SEITZ, Chief Justice; TRAYNOR and GRIFFITHS, Justices.

ORDER FON Holdings, LLC, appeals the Court of Chancery’s award of attorney fees and costs to Brian Jones under a contractual fee-shifting provision. The parties agree that the court’s determination that Jones was the “prevailing party” in the books-and- records action he brought under 8 Del. C. § 220 is subject to review under the abuse- of-discretion standard; we discern no such abuse here.

NOW, THEREFORE, IT IS ORDERED that the judgment of the Court of Chancery be AFFIRMED on the basis of the Court of Chancery’s June 9, 2025 Letter Opinion. 1 BY THE COURT: /s/ Gary F. Traynor Justice

1 Jones v. FON Hldgs, LLC, 2025 WL 1639351 (Del. Ch. Jun. 9, 2025).
