Withrespectto“Discovery Material” (i.e., informationofany kindproduced ordisclosedinthe course ofdiscoveryorsettlement discussionsin thisaction)thata person has designated as“Confidential” pursuanttothisOrder, no personsubjectto this Ordermay disclose such Confidential Discovery Material toanyone else exceptasexpressly permittedhereunder: 2. The Party orpersonproducing ordisclosing Discovery Material (each, “Producing Party”)may designate asConfidential only the portionofsuch material thatit reasonably andingoodfaithbelievesconsistsof: (a) previouslynon-disclosedfinancialinformation(includingwithoutlimitation profitability reportsorestimates, percentage fees,designfees,royalty rates, minimumguaranteepayments, salesreports,andsale margins); (b) previously non-disclosedmaterial relatingtoownership orcontrol of
any non-public company; (c) previously non-disclosedbusinessplans, product-developmentinformation, ormarketing plans; (d) any informationofa personal orintimate nature regarding any individual; or (e) any othercategory ofinformationgivenconfidentialstatusby this Courtafterthe date ofthisOrder. 3. Withrespecttothe Confidential portion ofany Discovery Material other than deposition transcriptsandexhibits, the Producing Party oritscounselmay designate such portionas“Confidential”by: (a)stamping orotherwise clearly marking as“Confidential” the protected portion in a mannerthatwill notinterfere withlegibility oraudibility; and(b) producing forfuture public use anothercopy ofsaidDiscovery Materialwith theconfidential information redacted. 4. A Producing Party oritscounsel may designate depositionexhibitsor
portionsofdeposition transcriptsasConfidentialDiscovery Material eitherby:(a)indicating onthe recordduring the depositionthat a questioncallsforConfidentialinformation,in which case the reporterwill bind the transcriptofthe designatedtestimony in a separate volume andmark itas “Confidential InformationGovernedby ProtectiveOrder;” or(b)notifying the reporterand all counsel ofrecord, in writing, within 30 daysaftera deposition hasconcluded,ofthe specific pages andlinesofthe transcript thatare tobe designated“Confidential,” inwhichcase all counsel receiving the transcriptwill be responsible formarking thecopiesofthe designated transcriptin theirpossessionorunder theircontrol asdirectedby the Producing Party orthatperson’scounsel. During the 30-day periodfollowing a deposition,allPartieswill treatthe entiredeposition transcript asifithadbeendesignatedConfidential. 5. Ifatany time before the terminationofthisactiona Producing Party realizes
thatitshouldhave designatedasConfidential someportion(s)ofDiscovery Material thatit previously producedwithoutlimitation, the Producing Party may so designatesuch material by notifying all Partiesin writing. Thereafter,all personssubjecttothisOrderwill treatsuchdesignated portion(s)ofthe Discovery Material asConfidential.In addition, the Producing Party shall provide eachotherParty with replacementversionsofsuch Discovery Material thatbearsthe “Confidential” designationwithin two businessdaysofproviding such notice. 6. Nothing containedinthisOrderwill be construedas: (a)a waiverbya Party orperson ofitsrighttoobjecttoany discovery request; (b)a waiverofany privilege orprotection; or(c)a ruling regarding theadmissibility at trial ofany document,testimony,orotherevidence. 7. Wherea Producing Partyhasdesignated DiscoveryMaterialasConfidential, otherpersons subjecttothisOrdermay disclose suchinformationonly tothe following persons:
(a) the Partiestothisaction,theirinsurers,andcounsel totheirinsurers; (b) counsel retained specifically forthisaction, including any paralegal, clerical, orotherassistantthatsuchoutside counsel employsandassignstothis matter; (c) outside vendorsorservice providers(such ascopy-service providersand document-managementconsultants)thatcounsel hire andassignto this matter; (d) any mediatororarbitratorthatthe Partiesengage inthismatterorthatthis Courtappoints, providedsuch personhasfirstexecuted a Non-Disclosure Agreementin the formannexedasExhibit A hereto; (e) astoany document, itsauthor, itsaddressee, and any otherpersonindicated
onthe face ofthe documentashaving receiveda copy; (f) any witnesswhocounsel fora Party in goodfaithbelievesmay becalledto testify attrialordepositionin thisaction,providedsuch personhasfirst executeda Non-Disclosure Agreementin the formannexedasExhibitA hereto; (g) any persona Party retainstoserve asanexpertwitnessorotherwise provide specializedadvice tocounsel in connectionwiththisaction, providedsuch person hasfirstexecuteda Non-Disclosure Agreementin the formannexed asExhibitA hereto; (h) stenographers engaged to transcribe depositions the Parties conduct in this action; and (i) thisCourt, including any appellate court, itssupport personnel, andcourt reporters.
8. Before disclosing any Confidential DiscoveryMaterial to any person referredtoin subparagraphs7(d),7(f), or7(g)above, counsel mustprovide a copy ofthisOrderto such person, whomust signa Non-Disclosure Agreementin the formannexedasExhibitA hereto stating that he orshe hasreadthisOrderandagreesto be bound by itsterms. Saidcounsel must retaineach signedNon-Disclosure Agreement, holditin escrow, andproduceittoopposing counseleitherbefore suchpersonispermittedtotestify (at depositionortrial) orat the conclusion ofthe case, whichevercomesfirst. 9. ThisOrderbindsthe Partiesandtheirlegalcounseland certain othersto treatasConfidential anyDiscovery Materialssoclassified. The Courthasnot,however, made any finding regarding the confidentiality ofany Discovery Materials,andretainsfull discretionto determine whethertoaffordconfidential treatment toany Discovery Materialdesignatedas
Confidential hereunder. All personsare placed on notice thatthe Courtisunlikely toseal or otherwise affordconfidential treatmenttoany Discovery Materialintroducedintoevidenceattrial, evenifsuch material haspreviously been sealedordesignatedasConfidential. 10. In filing Confidential Discovery Material with this Court, or filing portions of any pleadings, motions, or other papers that disclose such Confidential Discovery Material (“Confidential Court Submission”), the Parties shall publicly file a redacted copy of the Confidential Court Submission via the Electronic Case Filing System. In accordance with Rule 4(A) of the Court’s Individual Rules of Practice in Civil Cases, the Parties shall file an unredacted copy of the Confidential Court Submission under seal with the Clerk of this Court, and the Parties shall serve this Court and opposing counsel with unredacted courtesy copies of the Confidential Court Submission. In accordance with Rule 4(A) of this Court’s Individual Rules of Practice in Civil Cases, any Party that seeks to file Confidential Discovery Material under seal must file an application and supporting declaration justifying—on a particularized basis—the
sealing of such documents. The parties should be aware that the Court will unseal documents if it is unable to make “specific, on the record findings . . . demonstrating that closure is essential to preserve higher values and is narrowly tailored to serve that interest.” Lugosch v. Pyramid Co. of Onondaga,
435 F.3d 110, 120(2d Cir. 2006). 11. Any Party who objectstoany designationofconfidentiality may atany time before the trial of thisactionserve uponcounsel for the Producing Party a writtennotice stating with particularity the groundsofthe objection. Ifthe Partiescannotreachagreement promptly, counsel forall affectedPartieswill addresstheirdispute to thisCourtinaccordance with paragraph 2(C)ofthisCourt’sIndividual Practices. 12. Any Party who requestsadditional limitsondisclosure (suchas“attorneys’ eyesonly” inextraordinary circumstances),mayatany time before the trialofthisaction serve upon
counsel forthe recipientPartiesa written notice stating withparticularity thegroundsofthe request. Ifthe Partiescannot reach agreementpromptly, counselforall affected Partieswill addresstheir dispute tothisCourtin accordance withRule 2(C)ofthisCourt’s Individual RulesofPractice in Civil Cases. 13. RecipientsofConfidentialDiscovery Material underthisOrdermay use such material solely forthe prosecutionanddefense ofthisactionandanyappealsthereto, andnot for any otherpurpose orinany otherlitigationproceeding. Nothing containedinthisOrder,however, willaffectorrestrictthe rightsofany Party withrespectto itsown documentsorinformation produced in thisaction. 14. Nothing inthisOrderwill preventany Party fromproducing any Confidential Discovery Material initspossession in response toa lawful subpoena orother compulsory process, orif requiredtoproduce by law orby any governmentagency having jurisdiction, providedthatsuch Party giveswritten notice tothe Producing Party assoonas
reasonably possible,andifpermittedby the time allowedunderthe request,atleast10 daysbefore any disclosure. Uponreceiving such notice, the Producing Party will bearthe burden tooppose compliancewiththe subpoena, othercompulsory process, orotherlegal notice ifthe Producing Party deemsitappropriate todo so. 15. EachpersonwhohasaccesstoDiscovery Materialdesignated as Confidential pursuanttothisOrdermusttake all due precautionsto preventthe unauthorizedor inadvertent disclosure ofsuchmaterial. 16. Within60daysofthe finaldispositionofthisaction—includingall appeals—allrecipientsofConfidentialDiscoveryMaterial musteitherreturnit—includingall copiesthereof—totheProducing Party,or,uponpermissionofthe ProducingParty,destroy suchmaterial—includingallcopiesthereof. Ineitherevent,bythe60-daydeadline,the recipient mustcertifyitsreturnordestructionbysubmittingawrittencertificationtotheProducingParty thataffirmsthatithasnotretainedanycopies,abstracts,compilations,summaries,orotherforms ofreproducingorcapturinganyoftheConfidentialDiscoveryMaterial. Notwithstandingthis provision, theattorneysthatthe Partieshave specifically retainedforthisactionmayretainan archivalcopyofallpleadings, motionpapers,transcripts,expertreports,legalmemoranda, correspondence,orattorneywork product,evenifsuchmaterialscontainConfidentialDiscovery Material.Any sucharchivalcopiesthatcontainorconstituteConfidentialDiscovery Material remainsubjecttothisOrder. 17. ThisOrderwill survive the terminationofthe litigationandwill continue tobe binding upon all personssubjecttothisOrder towhomConfidential Discovery Material is producedordisclosed. 18. This Court will retain jurisdiction over all persons subject to this Order to the extent necessary to enforce any obligations arising hereunder or to impose sanctions for any contempt thereof.
