(collectively, “SS&C”) respectfully submits this request to file under seal unredacted exhibits filed with SS&C’s memorandum of law in support of its motion to dismiss the counterclaims filed by D. E. Shaw & Co., L.P. (““DESCO”) and an unredacted version of its memorandum of law in support of its motion to dismiss. While a presumption of public access applies to judicial documents, e.g., documents relevant to the performance of the judicial function and useful in the judicial process, the weight of the presumption is “governed by the role of the material at issue” and the resulting value of such information to the public. Lugosch v. Pyramid Co. of Onondaga,

(2d Cir. 2006). Courts must also balance against the weight of the presumption of any countervailing factors such as “the privacy interests of those resisting disclosure,”

The exhibits and portion of the memorandum of law SS&C seeks to redact consist of or reflect commercially sensitive and trade secret information relating to SS&C’s pricing of Geneva and related Geneva services. This type of information is regularly deemed protected because disclosure “might harm a litigant’s competitive standing.” Jn re Parmalat Sec. Litig.,
